1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," "your") and InvoiceBhai Technologies Pvt Ltd (CIN: U62099UP2026PTC245290), a company incorporated under the Companies Act, 2013, having its registered office at 1 Shivaji Marg, Hewett Road, Lucknow - 226018, Uttar Pradesh, India ("Company," "we," "us," "our"), governing your access to and use of the InvoiceBhai platform and services.

InvoiceBhai is a WhatsApp-based GST invoicing solution that enables freelancers, micro-entrepreneurs, and small businesses to generate GST-compliant invoices. By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

These Terms incorporate by reference our Privacy Policy, Acceptable Use Policy, Refund and Cancellation Policy, and any other policies published on our website (www.invoicebhai.com) or communicated to you from time to time.

2. Definitions

  • "Service" means the InvoiceBhai platform, including but not limited to the WhatsApp-based invoicing tool, web dashboard (if any), APIs, and all related functionalities provided by the Company.
  • "Invoice" means a GST-compliant invoice or bill of supply generated through the Service on behalf of the User.
  • "User Data" means all data, information, and content provided by the User to or through the Service, including business details, client information, transaction records, and invoice data.
  • "Subscription" means the paid plan or usage-based arrangement under which the User accesses the Service.
  • "GST" means Goods and Services Tax as defined under the Central Goods and Services Tax Act, 2017 and applicable State/Union Territory GST legislation.
  • "GSTIN" means Goods and Services Tax Identification Number issued to a registered taxable person.

3. Eligibility

To use the Service, you must: (a) be at least 18 years of age; (b) be competent to enter into a binding contract under the Indian Contract Act, 1872; (c) if using the Service on behalf of a business entity, have the authority to bind that entity to these Terms; and (d) not be barred from using the Service under any applicable law.

By using the Service, you represent and warrant that you meet all eligibility requirements. If you are using the Service on behalf of an organisation, you represent that you are authorised to accept these Terms on its behalf.

4. Account Registration and Security

Your InvoiceBhai account is created and accessed through WhatsApp. You are responsible for: (a) providing accurate and complete business information during registration, including your trade name, GSTIN (if applicable), address, and contact details; (b) maintaining the security and confidentiality of your WhatsApp account and any credentials; (c) all activities that occur under your account; and (d) promptly notifying us of any unauthorised use.

We reserve the right to suspend or terminate accounts that contain inaccurate information, are used fraudulently, or violate these Terms.

5. Description of the Service

InvoiceBhai enables Users to generate GST-compliant invoices via WhatsApp by providing transaction details in a conversational format. The Service includes:

  • Generation of tax invoices and bills of supply compliant with Rule 46 of the CGST Rules, 2017
  • Auto-population of HSN/SAC codes based on descriptions provided by the User
  • Calculation of applicable GST (CGST, SGST, IGST, or Cess) based on place of supply rules
  • Invoice storage and retrieval for the User's records
  • Delivery of invoices to the User in PDF or other supported formats via WhatsApp

Important Disclaimer: InvoiceBhai is an invoicing tool, not an accounting, tax advisory, or GST return filing service. The Company does not provide tax advice. Users are solely responsible for ensuring the accuracy of information provided, the correctness of tax rates applied, and compliance with all GST and other tax obligations. The Service does not file GST returns (GSTR-1, GSTR-3B, etc.) on your behalf.

6. User Obligations and Responsibilities

As a User of the Service, you agree to:

  • Provide accurate, current, and complete business information, including but not limited to your legal name, trade name, GSTIN, PAN, registered address, and bank details where required.
  • Verify the accuracy of every invoice generated through the Service before sharing it with your clients or using it for any official or statutory purpose.
  • Ensure that HSN/SAC codes, tax rates, and descriptions accurately reflect the goods or services being invoiced.
  • Maintain your own records and backups of all invoices as required under applicable GST law and the Income Tax Act, 1961.
  • Comply with all applicable laws, rules, and regulations while using the Service, including but not limited to the CGST Act, SGST/UTGST Acts, the Information Technology Act 2000, and the Digital Personal Data Protection Act 2023.
  • Not use the Service for generating fraudulent, fake, or misleading invoices, or for any purpose that is unlawful or prohibited by these Terms.
  • Not attempt to reverse-engineer, decompile, or otherwise derive the source code of the Service.

7. Invoicing, GST Compliance, and Limitations

While InvoiceBhai strives to generate invoices that are compliant with applicable GST rules, the User acknowledges and agrees that:

  • The Company relies on information provided by the User to generate invoices. Errors in User-provided data will result in errors in invoices.
  • The Company does not independently verify the User's GSTIN, PAN, or tax registration status.
  • HSN/SAC code suggestions are based on the descriptions provided and may not always be accurate. Users must verify these codes independently.
  • Tax rate calculations are based on standard rates and place of supply rules. Users dealing in goods or services with special rates, exemptions, or notifications must verify the applicable rates.
  • The Company is not responsible for any penalties, interest, or adverse consequences arising from inaccurate invoices generated based on incorrect information provided by the User.
  • The Service generates invoices sequentially based on user preferences but does not guarantee compliance with specific sequential numbering requirements mandated by the User's GST registration.

8. Fees, Payment, and Subscription

The Service may be offered on a per-invoice, subscription, or hybrid pricing basis as published on our website (www.invoicebhai.com) or communicated to you. You agree to pay all applicable fees in Indian Rupees (INR). All fees are exclusive of applicable taxes unless stated otherwise.

We reserve the right to modify pricing at any time. Any changes to pricing will be communicated to you at least 15 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised pricing.

Payments are processed through third-party payment gateways (e.g., Razorpay, Cashfree, or similar). We do not store your payment card or banking credentials. Payment processing is subject to the terms and conditions of the respective payment gateway provider.

Failure to make timely payment may result in suspension or restriction of your access to the Service.

9. Intellectual Property Rights

All intellectual property rights in and to the Service, including but not limited to software, algorithms, user interface designs, trade names, trademarks, logos, and documentation, are and shall remain the exclusive property of the Company.

The User retains ownership of their User Data. By using the Service, the User grants the Company a limited, non-exclusive, royalty-free licence to use, process, and store User Data solely for the purpose of providing and improving the Service.

Nothing in these Terms transfers any intellectual property rights from the Company to the User, except the limited right to use the Service in accordance with these Terms.

10. Data Protection and Privacy

We collect, use, and process your personal and business data in accordance with our Privacy Policy and applicable Indian data protection laws, including the Digital Personal Data Protection Act, 2023 (DPDP Act).

By using the Service, you consent to the collection and processing of your data as described in our Privacy Policy. You have the right to access, correct, and request deletion of your personal data, subject to our legal and regulatory obligations.

We implement reasonable security safeguards to protect your data. However, no system is completely secure, and we cannot guarantee absolute security.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
  • The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business, loss of data, or loss of goodwill, arising out of or in connection with your use of the Service.
  • The Company's total aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed the total fees paid by you to the Company in the twelve (12) months immediately preceding the event giving rise to the claim, or INR 5,000 (Indian Rupees Five Thousand), whichever is lower.
  • The Company shall not be liable for any losses arising from errors in invoices caused by inaccurate information provided by the User, including incorrect GSTINs, HSN/SAC codes, tax rates, or transaction details.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to: (a) your use of the Service; (b) your breach of these Terms; (c) inaccurate, fraudulent, or misleading invoices generated using your account; (d) your violation of any applicable law or regulation; or (e) any third-party claims related to your User Data.

13. Termination

Either party may terminate this agreement at any time. The Company may suspend or terminate your access to the Service immediately and without prior notice if: (a) you breach any provision of these Terms; (b) you use the Service for unlawful purposes; (c) the Company is required to do so by law; or (d) the Company decides to discontinue the Service.

Upon termination: (a) your right to use the Service ceases immediately; (b) the Company may delete your account and User Data after a reasonable retention period of 90 days, subject to applicable legal requirements; and (c) any outstanding fees become immediately due and payable.

Provisions that by their nature should survive termination shall survive, including Sections 9, 11, 12, 14, and 15.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved amicably through good-faith negotiation for a period of thirty (30) days. If the dispute remains unresolved, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The seat and venue of arbitration shall be Lucknow, Uttar Pradesh. The arbitration shall be conducted in English by a sole arbitrator appointed by mutual agreement of the parties.

Subject to the above, the courts of Lucknow, Uttar Pradesh shall have exclusive jurisdiction.

15. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy, Acceptable Use Policy, Refund and Cancellation Policy, and any other policies referenced herein, constitute the entire agreement between you and the Company with respect to the Service.

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver: No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.

Assignment:You may not assign your rights or obligations under these Terms without the Company's prior written consent. The Company may assign its rights and obligations to any successor entity.

Force Majeure: The Company shall not be liable for any failure to perform due to causes beyond its reasonable control, including natural disasters, acts of government, pandemic, war, terrorism, labour disputes, internet or telecommunications failures, or power outages.

Notices: All notices to the Company shall be sent to help@invoicebhai.com or by post to 1 Shivaji Marg, Hewett Road, Lucknow - 226018, Uttar Pradesh, India. Notices to Users will be sent via WhatsApp or email as registered with us.

Amendments: We reserve the right to modify these Terms at any time. Material changes will be communicated to you via WhatsApp or email at least 15 days before they take effect. Continued use of the Service after such changes constitutes acceptance.
