1. INTRODUCTION & ACCEPTANCE OF TERMS

These Terms of Service ("Terms") govern the access to and use of InvoiceBhai, including its WhatsApp-based chatbot, website, software, features, and related services (collectively, the "Service").

InvoiceBhai is a product owned and operated by Stratonix Systems LLP, a limited liability partnership incorporated under the laws of India, having its principal place of business at Lucknow, Uttar Pradesh, India ("Company", "we", "us", "our").

By accessing, registering for, or using the Service in any manner, you ("User", "you", "your") confirm that:

• You have read, understood, and agree to be bound by these Terms; and
• You are legally capable of entering into a binding contract under Indian law.

If you do not agree to these Terms, you must not use the Service.

2. ELIGIBILITY

You may use the Service only if:

• You are at least 18 years of age;
• You are using the Service for lawful business or personal purposes; and
• You have the authority to bind the business or entity (if using on behalf of one).

The Company reserves the right to suspend or terminate access for users who do not meet eligibility requirements.

3. SERVICE DESCRIPTION

InvoiceBhai is an automation-based invoicing and business utility platform delivered primarily via a chatbot interface.

The Service enables users to:

• Generate invoices and related business documents;
• Store, retrieve, and manage invoice data;
• Use multilingual text input;
• Use voice note input and image input (where available); and
• Access features based on subscription plan limits.

The Service does not provide:

• Legal advice;
• Tax advice;
• Accounting certification; or
• Financial, statutory, or regulatory guarantees.

InvoiceBhai is not a Chartered Accountant, tax practitioner, or legal professional.

4. ACCOUNT REGISTRATION & ACCESS

4.1 Account Creation

Access to the Service requires:

• A valid mobile number registered with WhatsApp; and
• Successful authentication through OTP or platform-approved methods.

4.2 Account Responsibility

You are solely responsible for:

• Maintaining confidentiality of your account; and
• All activity conducted through your account.

The Company shall not be liable for unauthorized access resulting from user negligence.

5. SUBSCRIPTIONS, PLANS & BILLING

5.1 Subscription Plans

InvoiceBhai offers free and paid subscription plans, each with defined invoice limits, features, and usage conditions. Plan details are displayed on the InvoiceBhai website or communicated via official channels and may be modified from time to time.

5.2 Payments

Payments are processed through third-party payment gateways. The Company does not store users' debit card, credit card, or banking information. By completing a transaction, you authorize the Company and its payment partners to process applicable charges.

5.3 Auto-Renewal

Paid subscriptions may renew automatically unless cancelled prior to the renewal date.

5.4 Refund & Cancellation

Unless expressly stated otherwise:

• All subscription fees are non-refundable;
• Partial usage does not qualify for refunds; and
• Any refunds, if granted, shall be at the sole discretion of the Company.

6. INVOICE GENERATION DISCLAIMER (VERY IMPORTANT)

InvoiceBhai generates invoices entirely based on information provided by the User.

You expressly acknowledge and agree that:

• The Company does not verify GST numbers, tax rates, invoice totals, or statutory compliance;
• The Company does not guarantee legal validity of generated invoices; and
• You are solely responsible for compliance with GST laws, income-tax laws, and local, state, and national regulations.

All invoices generated through the Service are used strictly at your own risk.

7. DATA & PRIVACY

7.1 Data Collected

The Service may collect and process:

• Mobile numbers;
• Business names;
• Invoice and transaction-related data;
• GST and tax-related fields; and
• Usage and interaction metadata.

7.2 Data Usage

Collected data is used for providing and maintaining the Service, improving features and reliability, and legal and regulatory compliance.

7.3 Data Security

Reasonable security practices are implemented; however no electronic system is completely secure, and the Company shall not be liable for breaches beyond reasonable control. Please refer to the Privacy Policy for detailed data practices.

8. THIRD-PARTY PLATFORM DEPENDENCY

InvoiceBhai relies on third-party platforms and infrastructure, including but not limited to WhatsApp and Meta APIs.

You acknowledge and agree that:

• Service availability depends on such third-party platforms;
• Any restriction, suspension, downtime, or policy enforcement by third parties is outside the Company's control; and
• The Company shall not be liable for service interruptions caused by third-party actions.

9. PROHIBITED USES

You agree not to use the Service for:

• Generating fake, misleading, or fraudulent invoices;
• Tax evasion or unlawful financial activities;
• Impersonation or misrepresentation;
• Violating applicable laws or regulations; or
• Attempting to disrupt, abuse, reverse-engineer, or misuse the Service.

Violation may result in immediate suspension or termination without prior notice.

10. INTELLECTUAL PROPERTY

All intellectual property related to the Service, including software, branding, logos, and content, is owned exclusively by Stratonix Systems LLP.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. Unauthorized use may result in civil and criminal liability.

11. SERVICE AVAILABILITY & MODIFICATIONS

The Company reserves the right to:

• Modify or discontinue features;
• Impose usage limits; or
• Temporarily or permanently suspend the Service,

without liability or obligation to provide prior notice.

12. TERMINATION

The Company may suspend or terminate access:

• For violation of these Terms;
• For non-payment of subscription fees;
• For legal, regulatory, or security reasons; or
• At its sole discretion.

Upon termination, access to the Service will cease and stored data may be deleted.

13. LIMITATION OF LIABILITY

To the maximum extent permitted under applicable law, the Company shall not be liable for:

• Loss of profits or business;
• Tax penalties or regulatory actions;
• Data loss; or
• Indirect, incidental, or consequential damages.

Total liability, if any, shall not exceed the amount paid by the User in the three (3) months preceding the claim.

14. INDEMNIFICATION

You agree to indemnify and hold harmless Stratonix Systems LLP, its partners, and affiliates from any claims, losses, damages, or legal proceedings arising out of your use of the Service; invoices generated by you; violation of laws or regulations; or breach of these Terms.

15. GOVERNING LAW & JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of India.

The courts at Lucknow, Uttar Pradesh, India shall have exclusive jurisdiction.

16. CHANGES TO TERMS

The Company may update these Terms from time to time.

Continued use of the Service after changes constitutes acceptance of the revised Terms.
